Seller Terms (Companies)
These Seller Terms apply to companies and other businesses that list and sell goods on StoreFiller (each a "Seller") and to their staff who use the partner portal. They are an agreement between the Seller and StoreFiller and apply together with the Terms of Use and the Privacy Policy. By registering a company, ticking "I agree" or listing a product, the Seller accepts them. The person accepting confirms that they are authorised to bind the Seller.
In this document "StoreFiller", "we", "us" and "our" mean Atavishaala Agro Exports Private Limited, the company that operates the StoreFiller mobile apps, the partner portal at partner.storefiller.in and the website at storefiller.in (together, the "Platform").

1. Role of StoreFiller
StoreFiller operates a marketplace that connects Sellers with shops. The Seller sells its goods directly to shops and is the seller of record. StoreFiller provides the Platform, verifies participants, shows each Seller's goods to shops within its delivery areas, accepts payments from shops on the Seller's behalf, coordinates delivery, and handles customer complaints. StoreFiller does not buy, own or hold the Seller's goods.
2. Registration and verification
- The Seller registers through the partner portal with the owner's verified mobile number and gives true and complete details.
- Before it can sell, the Seller is verified: business identity, GSTIN, PAN, licences needed for its goods (including an FSSAI licence for food), registered address, warehouse addresses and a bank account in the Seller's own name.
- A verification fee applies to each submission for verification, as shown in the portal before payment, plus any applicable GST. It is not refundable, including when a submission is rejected or resubmitted.
- The Seller must keep its documents and licences valid and up to date in the portal. An expired licence automatically suspends the listings that depend on it until a valid one is uploaded.
- The Seller is responsible for every action taken by its staff accounts and must remove access for staff who leave.
3. Warehouses and delivery areas
- The Seller adds each warehouse with its address, map location, contact person, working days, daily dispatch cut-off time, packing time and the distance it delivers to.
- Shops see a warehouse's goods only within the delivery distance and areas the Seller sets. The Seller must be able to deliver everywhere it has chosen to serve.
- The Seller keeps warehouse details accurate, because they are used to work out the delivery dates promised to shops.
4. Listings
- Listings must be accurate, complete and lawful, and must include: brand and product name, pack size and net quantity, MRP, selling price, GST rate and HSN code, country of origin, manufacturer, packer or importer details, and clear images of the actual product.
- Food listings must also include what the Food Safety and Standards Act and its regulations require, such as veg or non-veg marking and the FSSAI licence number.
- Listings are reviewed and may be rejected, edited for accuracy, hidden or removed by StoreFiller, for example if they are inaccurate, unsafe, duplicated, infringing or unlawful.
- The Seller must not list goods that are counterfeit, stolen, recalled, banned, restricted without the required licence, or not meant for retail sale.
- The number of products a Seller can list depends on its plan, shown in the portal. Plans are one-time purchases, plus any applicable GST, and are not refundable. Products beyond the plan's limit are hidden until the Seller upgrades.
5. Pricing
- The Seller sets its selling prices, which include GST and must not exceed MRP.
- One price for every shop. A pack has one selling price for every shop on StoreFiller. The Seller may not ask StoreFiller to vary prices by location, device or buyer, or to show different prices to different shops for the same pack.
- The Seller may set a minimum quantity per pack, a minimum order value above the marketplace minimum, and delivery and cash-on-delivery charges for its warehouses and areas. All of these are shown to shops before they order.
- A price change applies to orders placed after it is saved. Orders already placed are honoured at the price shown when they were placed.
6. Stock and orders
- The Seller keeps each warehouse's stock accurate in the portal. Goods shown as available must be available.
- The Seller packs and dispatches every confirmed order by the promised date, in proper packaging that protects the goods in transit.
- The Seller may cancel an order it cannot fulfil, but must do so promptly and with a reason. Frequent cancellations by the Seller may lead to listings being hidden or to suspension.
- Shelf life: food must reach the shop with the remaining shelf life the law requires, and in any case with at least 30% of its shelf life or 45 days before expiry remaining, whichever the law requires.
7. Delivery
- The Seller's warehouse arranges delivery to the shop through its own riders or a delivery partner using the StoreFiller Rider app, which records each handover with the shop's delivery code and a photo.
- The Seller ensures its riders follow the Delivery Partner Terms, and is responsible for its riders' conduct and for the cash they collect.
- Risk in the goods stays with the Seller until handover to the shop.
8. Invoices and taxes
- The Seller is the supplier for GST. A GST tax invoice in the Seller's name is generated through StoreFiller for every delivered order, using the Seller's details, the prices and GST rates it has listed, and the shop's GSTIN where given. The Seller is responsible for the correctness of those details and for reporting the supply in its returns.
- As an electronic commerce operator, StoreFiller collects tax at source (TCS) under the GST law and deducts tax (TDS) under the Income-tax Act where these apply, deposits it, and reports it in the Seller's name so that the Seller can claim credit.
- The Seller is responsible for all other taxes on its business.
9. Commission and fees
- StoreFiller charges a commission on the value of goods sold, excluding GST, at the rate for the product's category shown in the partner portal, subject to the category's minimum and cap and to a minimum commission per order shown in the portal. Commission is not charged on delivery fees or GST.
- Coupons funded by StoreFiller do not reduce the amount the Seller is paid for its goods.
- Freight at StoreFiller's published rates, where StoreFiller arranges transport, and payment-gateway charges, where applicable, are deducted as shown in the settlement statement.
- GST applies to StoreFiller's commission and fees, and StoreFiller issues tax invoices for them.
- StoreFiller will give at least 30 days' notice in the portal before increasing a commission rate or fee. Orders placed before the change are charged at the old rate.
10. Payments and settlement
- Payments from shops, online or in cash, are received by StoreFiller and its payment partner on the Seller's behalf.
- Settlement is weekly. Each settlement covers orders delivered in the previous week and pays the goods value and delivery charges collected, less commission, fees, freight, payment-gateway charges, refunds and return adjustments, and TCS and TDS.
- A settlement statement for each period is available in the portal. Payouts are made to the Seller's verified bank account.
- Cash collected by riders on cash-on-delivery orders must be handed over and reconciled in the portal; shortfalls are the Seller's responsibility and are adjusted in settlement.
- StoreFiller may hold all or part of a payout where there is a pending dispute, suspected fraud, a legal requirement or an unpaid amount owed by the Seller, and will say why.
- The Seller should report a disputed settlement within 30 days of the statement.
11. Returns, refunds and complaints
- The Seller honours cancellations, returns and refunds as set out in the Cancellation & Refund Policy and the Returns Policy.
- The Seller responds to complaints and return reports forwarded by StoreFiller within 2 business days. If it does not, StoreFiller may decide the matter on the evidence available.
- Refunds approved because of the Seller's error, such as wrong, missing, damaged, expired or short-dated goods, are charged to the Seller in settlement, including any delivery fee refunded and the cost of return pickup.
12. Quality and performance
StoreFiller monitors cancellations, late dispatches, failed deliveries, returns, ratings and complaints. Sellers with poor performance may receive warnings, have listings hidden, have delivery areas reduced or be suspended.
13. Responsibility for goods
The Seller is responsible for the goods it sells: their quality, quantity, safety, freshness, packaging, labelling, licences, warranties and compliance with law, including the Legal Metrology (Packaged Commodities) Rules and food safety law. The Seller compensates StoreFiller for claims, penalties, losses and reasonable legal costs arising from its goods, its listings, its riders or its breach of these terms or the law.
14. Intellectual property
- The Seller confirms it has the right to sell the goods and to use the brands, images and text in its listings.
- The Seller grants StoreFiller a free, non-exclusive licence to use its name, logo, product images and listing content to display and promote its goods on the Platform and in StoreFiller's marketing.
- StoreFiller's name, logo and Platform remain StoreFiller's property.
15. Data and confidentiality
- The Seller receives shops' details only to fulfil, deliver and invoice their orders, and must not use them for any other purpose, sell them, or contact shops to move their purchases off the Platform.
- The Seller keeps personal data it receives secure and deletes it when no longer needed for those purposes or for legal records.
- Each party keeps the other's non-public business information confidential, except as the law requires.
16. Suspension and termination
- StoreFiller may suspend listings or the Seller's account for breach of these terms, serious or repeated quality complaints, expired licences, unsafe goods, fraud, or a legal requirement, and will give reasons.
- Either party may end this agreement with 30 days' written notice. StoreFiller may end it immediately for fraud, unsafe goods or a serious breach.
- Orders already placed must still be fulfilled or cancelled with a refund, and amounts owed by either party must still be settled after termination.
17. Liability
To the extent the law allows, neither party is liable to the other for indirect or consequential losses, and StoreFiller's total liability to the Seller in any calendar month is limited to the commission and fees it received from the Seller in that month. This does not limit liability for fraud, for unpaid settlement amounts, or any liability that cannot be limited by law.
18. Changes
StoreFiller may update these terms. Material changes are notified in the portal at least 15 days before they take effect, except changes required by law, which take effect as the law requires. Continuing to sell after a change takes effect means accepting it.
19. Law and disputes
These terms are governed by the laws of India. The parties will first try to resolve any dispute by discussion for 30 days. After that, the courts at Ahmednagar (Ahilyanagar), Maharashtra have exclusive jurisdiction.
